These Terms of Use govern your access to and use of fieldselpaso.com, the informational website for The Fields, a 35-homesite residential subdivision in El Paso, Texas, marketed by EP Riverbend Development. Please read them carefully. They explain the informational nature of the website, the limits on what it represents, and the rules that apply when you use it.

1. Acceptance of These Terms

These Terms of Use (the "Terms") form a legally binding agreement between you and EP Riverbend Development, 4798 Doniphan, Suite A, El Paso, TX 79922 ("EP Riverbend Development," "we," "us," or "our"), regarding your use of the website located at fieldselpaso.com and all of its pages, content, tools, and features (together, the "Site").

By accessing, browsing, or using the Site, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the Site.

You must be at least 18 years old, or the age of legal majority where you live, to submit inquiries through the Site. By submitting an inquiry, you represent that you meet this requirement and that the information you provide is accurate. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

2. Informational Nature of the Site

The Site is provided for general informational purposes only. It is intended to introduce The Fields, describe its location, homesites, amenities, and design intent, and make it easy for interested persons to contact us. Nothing on the Site constitutes legal, financial, tax, engineering, architectural, appraisal, or real estate brokerage advice. You should consult qualified professionals of your own choosing before making any decision to purchase property or build a home.

We make reasonable efforts to keep the information on the Site current and accurate. However, real estate development is a dynamic process. Homesite availability, pricing, sizes, dimensions, lot configurations, phasing, amenities, utility availability, schedules, builder programs, incentives, and other details may change at any time without notice and may differ from what appears on the Site. Information on the Site may also contain typographical errors, inaccuracies, or omissions. You should always confirm any information that matters to you directly with us and through the official documents described below.

3. No Offer to Sell; No Binding Commitment

The Site is not an offer to sell, or a solicitation of an offer to buy, any real property, and it is not intended to be one in any jurisdiction where such an offer or solicitation would be unlawful or require prior registration, qualification, or filing that has not been made. Any listing, price, availability status, or description of a homesite on the Site is an invitation to inquire, not an offer capable of acceptance.

No contract, reservation, option, or other right to purchase any homesite is created by your use of the Site, by submitting a contact form or homesite inquiry, by receiving a response from us, or by any conversation with us or our representatives. A binding agreement to purchase property at The Fields will exist only when a written purchase agreement has been signed by both you and the authorized seller, and then only on the terms stated in that written agreement. In the event of any conflict between the Site and a signed purchase agreement, the signed purchase agreement will control.

Expressing interest in a homesite through the homesite inquiry tool does not hold, reserve, or remove that homesite from the market, and it does not give you priority over any other prospective purchaser, unless we expressly agree otherwise in a signed writing.

4. Renderings, Images, Maps, and Estimates Are Illustrative

4.1 Visual materials

Renderings, illustrations, photographs, site plans, lot maps, aerial imagery, landscape concepts, elevations, floor plans, and other visual materials on the Site are artist's conceptions or representative images provided for illustrative purposes only. They are not to scale unless expressly stated, may depict features, finishes, landscaping, furnishings, or improvements that are not included or that will not be built, and may show homes designed by independent builders that are not being offered by us. Photographs may depict locations or homes outside The Fields. Views, vistas, surrounding land uses, and neighboring properties may change over time, and we make no representation that any view or surrounding condition will remain as shown.

4.2 Dimensions and acreage

Any lot dimensions, acreage, square footage, elevations, setbacks, or similar figures shown on the Site are approximate. Only a recorded plat and a current survey prepared by a licensed surveyor can establish the actual boundaries and dimensions of a homesite.

4.3 Construction budget and mortgage estimator

The construction budget and mortgage estimator on the Site is a convenience tool that produces rough, hypothetical figures based entirely on the assumptions you enter and on generalized formulas. Its results are not a quotation, bid, appraisal, loan offer, loan approval, pre-qualification, pre-approval, commitment to lend, or financial advice. Actual construction costs depend on many factors, including your builder, plans, specifications, materials, site conditions, permits, and market conditions. Actual loan terms, interest rates, payments, taxes, insurance, and closing costs depend on your lender, your credit and financial profile, and market conditions at the time you apply. We are not a lender or mortgage broker. Please consult a licensed lender and your chosen builder for accurate figures. The estimator runs in your browser and does not send the values you enter to us.

5. Pattern Book, Covenants, and Governing Documents Control

Ownership and use of homesites at The Fields, and the design and construction of homes and other improvements, are governed by the recorded declaration of covenants, conditions, and restrictions, any recorded plats and easements, any property owners' association governing documents, The Fields Pattern Book and any architectural or design guidelines adopted under those documents, and applicable laws, codes, and ordinances of the City of El Paso, El Paso County, and the State of Texas (collectively, the "Governing Documents").

Any summary, description, or excerpt of the Governing Documents on the Site, including descriptions of architectural styles, materials, building envelopes, setbacks, landscaping requirements, fencing, design review procedures, or association matters, is provided for convenience only and is not complete. If there is any inconsistency between the Site and the Governing Documents, the Governing Documents control. The Governing Documents may be amended from time to time in accordance with their terms. Prospective purchasers should obtain and carefully review the current, complete Governing Documents, and any disclosures required by law, before signing a purchase agreement. You may request copies by contacting us.

Approval of home plans under the Pattern Book or any design review process concerns conformance with the community's design standards only. Such approval is not a representation or warranty regarding structural soundness, engineering, code compliance, fitness for any purpose, or the quality of any builder's work.

6. Equal Housing Opportunity

7. Real Estate Brokerage and Independent Builders

Texas law requires license holders to provide certain information, including the Texas Real Estate Commission Information About Brokerage Services notice and Consumer Protection Notice, which will be made available to you as required by law.

Builders that construct homes at The Fields, including any builders listed or referenced on the Site, are independent contractors or independent businesses. They are not our agents or employees, and we are not responsible for their acts, omissions, representations, warranties, pricing, schedules, or workmanship. Your contract with any builder will be solely between you and that builder.

8. Intellectual Property

The Site and all of its content, including text, graphics, logos, names, the name and marks of The Fields, the Pattern Book and design materials as presented on the Site, renderings, photographs, maps, illustrations, page layouts, software, code, and the selection and arrangement of all of these, are owned by or licensed to EP Riverbend Development and are protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site, and to print or download a reasonable number of pages, solely for your personal, non-commercial use in evaluating a possible purchase at The Fields or in communicating with us. You must not remove any copyright, trademark, or other proprietary notices from any materials you print or download.

Except as expressly permitted above, you may not copy, reproduce, republish, modify, distribute, transmit, publicly display, create derivative works from, sell, license, or otherwise exploit any content from the Site without our prior written permission. Real estate professionals who wish to use Site content in marketing materials must obtain our written approval in advance. Nothing on the Site grants you any right to use our names, logos, or marks. All rights not expressly granted are reserved.

If you send us comments, ideas, or suggestions about the Site or The Fields ("Feedback"), you agree that we may use that Feedback without restriction or compensation to you. Feedback does not include the personal information you provide in an inquiry, which is handled as described in our Privacy Policy.

9. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
  • submit false, misleading, or fraudulent information, impersonate any person or entity, or misrepresent your affiliation with any person or entity;

By checking the consent checkbox and submitting a form, you agree that we may contact you about your inquiry using the contact information and preferred contact method you provide, as described in our Privacy Policy. Consent to receive calls or text messages is not a condition of purchasing any property, and you may revoke it at any time.

We are not obligated to respond to every submission and do not guarantee any particular response time. Submissions sent through the Site or by email are not secure channels for sensitive information; please do not send Social Security numbers, bank account information, or similar data through the Site.

EP RIVERBEND DEVELOPMENT DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY INFORMATION ON THE SITE, INCLUDING HOMESITE AVAILABILITY, PRICING, DIMENSIONS, RENDERINGS, OR ESTIMATOR RESULTS, IS ACCURATE, COMPLETE, OR CURRENT.

No statement on the Site creates any warranty regarding any homesite, any improvement, any home to be constructed, or the condition of any real property, including soil, drainage, flood, environmental, or geotechnical conditions. Any warranties relating to real property will be only those, if any, expressly set out in a signed purchase agreement or other written instrument. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EP RIVERBEND DEVELOPMENT, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE OWNERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT OR TOOL ON IT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

You acknowledge that you have not relied on any information, rendering, estimate, or statement on the Site in deciding whether to purchase property, and that any decision to purchase will be based on your own independent investigation, the Governing Documents, and the terms of a signed purchase agreement. The limitations in this section apply to your use of the Site and do not limit any rights or remedies expressly provided in a signed purchase agreement. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless EP Riverbend Development, its affiliates, and its and their respective owners, managers, officers, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Site or its content; (c) any information you submit through the Site, including information about another person submitted without authorization; or (d) your violation of any law or the rights of any third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

16. Governing Law and Venue

These Terms and any dispute or claim arising out of or relating to them or to the Site, whether in contract, tort, or otherwise, are governed by the laws of the State of Texas and applicable federal law of the United States, without giving effect to any choice-of-law or conflict-of-law rule that would cause the laws of another jurisdiction to apply.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state courts located in El Paso County, Texas, or the United States District Court for the Western District of Texas, El Paso Division, and you irrevocably consent to the personal jurisdiction and venue of those courts. You waive any objection to those courts based on inconvenient forum. Any claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the claim arises, to the extent permitted by applicable law; otherwise, the claim is permanently barred.

Disputes relating to the purchase of a homesite will be governed by the dispute resolution provisions, if any, of the applicable purchase agreement and Governing Documents, which will control over this section to the extent of any conflict.

17. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Site and supersede any prior understandings regarding the Site. They do not supersede any signed purchase agreement or the Governing Documents.
  • Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • No third-party beneficiaries. Except as provided in the sections on limitation of liability and indemnification, these Terms do not create any third-party beneficiary rights.
  • Headings. Section headings are for convenience only and have no legal effect.
  • Electronic communications. You agree that we may provide notices and communications to you electronically, and that such communications satisfy any legal requirement that they be in writing.
  • Accessibility. We strive to make the Site accessible to all visitors. If you experience difficulty accessing any content, please contact us and we will provide the information through an alternative means.

18. Changes to These Terms

We may revise these Terms from time to time at our discretion. When we do, we will post the updated Terms on this page and update the "Last updated" date at the top. Changes take effect when posted, unless we state otherwise, and apply to your use of the Site after that time. They will not apply retroactively to disputes of which we had actual notice before the change. Your continued use of the Site after revised Terms are posted means that you accept the changes.
